Terms of Service
Effective June 1, 2026
These Terms of Service ("Terms") form a binding legal agreement between Teliyadu ("we", "us", "our") and the clinic, organisation, or individual ("you", "Customer") accessing or using Teliyadu OralOS ("the Service"). By creating an account, accessing the Service, or authorising staff members to use the Service, you agree to be bound by these Terms in full.
If you are accepting these Terms on behalf of a clinic or organisation, you represent that you have the legal authority to bind that organisation.
1. Definitions
- "Service". Teliyadu OralOS, including the web dashboard, patient mobile app, patient web portal, staff mobile app, embeddable booking widget, public API, webhooks, and any related features or tools provided by Teliyadu.
- "Account". the clinic account created upon registration, representing one legal entity.
- "Branch". an additional physical location added to a multi-branch Account.
- "Staff User". any individual granted access to the dashboard under your Account.
- "Patient". any individual whose record is created in OralOS under your Account.
- "Subscription". the plan you select at registration or upgrade, granting access to the corresponding feature set.
- "Customer Data". all data entered into or generated by your use of the Service, including patient records, clinical notes, financial records, and staff information.
2. The Service
Teliyadu OralOS is a cloud-based dental clinic management platform. Depending on your subscription plan, the Service may include:
- Patient registration, medical history, and demographic management
- Appointment scheduling (day/week calendar), walk-ins, and status tracking
- Clinical visit notes, customisable templates, and prescriptions
- 32-tooth adult dental charting with diagnosis and procedure tracking
- Periodontal charting and orthodontic records
- Paediatric charting and family accounts
- Treatment plans with version history and e-signatures
- Digital consent form management
- DICOM-compatible imaging and document storage
- Invoicing, partial payments, and patient ledger (Cash and Chapa)
- Insurance billing, pre-authorisation, and claim tracking
- Corporate/employer dental account management
- Daily cash closing and financial reports
- Inventory management with low-stock alerts and procurement
- Staff scheduling and payroll integration
- Multi-branch management with branch-level access controls
- Patient mobile app and patient web portal
- Staff mobile app
- Embeddable online booking widget
- Appointment reminder SMS, email, WhatsApp, and push notifications
- Recall automation and patient marketing campaigns
- Patient satisfaction surveys
- Referral management
- AI-assisted charting and voice dictation
- Telemedicine / video consultation
- Custom analytics and reporting
- Public REST API and webhooks for third-party integrations
Features available to your Account depend on your Subscription plan. Teliyadu reserves the right to add, modify, or discontinue features with reasonable notice.
3. Accounts & Access
- You must provide accurate, complete registration information and keep it current throughout the Subscription.
- You are responsible for all activity that occurs under your Account, including activity by Staff Users.
- You must keep login credentials and API keys confidential and must not share them between individuals. Each Staff User must have their own account.
- You must be at least 18 years old and legally authorised to enter this agreement on behalf of your clinic or organisation.
- You must promptly notify us at support@teliyadu.com if you become aware of any unauthorised access to your Account.
- Accounts may not be transferred to another entity without Teliyadu's written consent.
4. Subscriptions & Payment
4.1 Plans
OralOS is offered on multiple subscription tiers, billed monthly or annually. Current pricing is published at teliyaduoralos.com/pricing. Enterprise and custom plans are available . contact us for a quote.
4.2 Multi-branch licensing
Each Subscription covers one clinic Account. Multi-branch organisations may add Branches to a single Account under a multi-branch plan, priced per Branch in addition to the base Subscription. Each Branch is a physical location operated by the same legal entity. Separate legal entities require separate Accounts.
4.3 Billing
Subscriptions are billed in advance. Monthly plans are charged on the same day each month. Annual plans are charged in full at the start of each annual cycle. Payments are processed by Stripe (international card payments) or Chapa (local East African payment methods). You authorise automatic renewal unless you cancel before the renewal date.
Invoices are emailed to the billing contact on your Account. Overdue balances may result in account suspension after 7 days' notice. Suspended accounts retain their data; suspended Staff Users cannot log in.
4.4 Taxes
Prices shown exclude applicable taxes (VAT, withholding tax, or local equivalents). You are responsible for any taxes applicable to your purchase under local law. Where required by law, Teliyadu will collect and remit applicable taxes.
4.5 Price changes
We may change Subscription pricing with 30 days' written notice. Price changes take effect at your next renewal. Continued use after the renewal date constitutes acceptance of the new price. If you do not accept the new price, you may cancel before the renewal date.
4.6 Free trial
Where a free trial is offered, no payment is required during the trial period. At the end of the trial, the Account automatically converts to a paid plan unless cancelled before the trial ends. Features may be limited during the trial.
4.7 Refunds
Monthly Subscriptions are non-refundable mid-cycle. Annual Subscriptions may be eligible for a pro-rata refund of unused months within 30 days of the annual renewal date . contact support@teliyadu.com. Refunds are not available for periods of suspended access due to breach of these Terms.
5. API Access, Integrations & Webhooks
Customers on eligible plans may access the OralOS REST API and webhook system to integrate with third-party software (laboratory information systems, referral networks, external EHR platforms, custom reporting tools).
- API access is governed by rate limits published in the API documentation. Exceeding rate limits may result in temporary throttling.
- API keys are credentials . you must treat them as securely as passwords. Revoke and rotate keys promptly if compromised.
- You are responsible for the security and compliance of any system you connect to OralOS via the API. Third-party systems you authorise receive access to your Customer Data . their use of that data is subject to your agreement with them, not these Terms.
- Webhook payloads may contain patient identifiers. You must ensure your webhook receiver is secured appropriately and validates the Teliyadu signature on each payload.
- We may deprecate API endpoints with 90 days' notice. Breaking changes will not be introduced without versioning and a migration path.
6. AI Features
AI-assisted features (voice dictation, automated charting suggestions, note summaries, treatment plan recommendations) are optional and must be enabled by the clinic Admin. By enabling AI features, you acknowledge and agree:
- AI outputs are suggestions only. A qualified clinician must review, verify, and take responsibility for all clinical decisions. AI suggestions are never a substitute for professional clinical judgement.
- OralOS AI features do not diagnose, prescribe, or replace any regulated clinical act. You are solely responsible for clinical outcomes.
- Patient data submitted to AI inference endpoints is processed under a strict sub-processor agreement that prohibits training use. See our Privacy Policy for details.
- You must inform patients that AI tools are used in the preparation of their clinical records, in accordance with applicable informed consent requirements in your jurisdiction.
7. Telemedicine
The OralOS telemedicine module enables video consultations between clinicians and patients. By using telemedicine features, you agree:
- You are responsible for obtaining valid patient consent for telemedicine consultations in accordance with your local health regulations.
- You are responsible for verifying that telemedicine practice is lawfully permitted for the clinical activities you undertake via video consultation in your jurisdiction.
- Session recordings are off by default. If you enable recording, you must obtain explicit patient consent before starting the recording, and the recording will be stored in the patient's clinical record subject to the same access controls and retention periods as other clinical data.
- Teliyadu is not liable for clinical outcomes arising from telemedicine consultations.
8. E-Signatures & Digital Consent
OralOS supports electronic signatures on consent forms, treatment plans, and other clinical documents. You are responsible for verifying that electronic signatures are legally valid for your intended purpose under applicable law in your jurisdiction (including the Ethiopian Electronic Transactions Proclamation where applicable). Teliyadu provides the technical means to capture and record signatures; we make no warranty that a given use of e-signatures satisfies any specific legal or regulatory requirement.
9. Online Booking Widget & Patient Portal
The embeddable online booking widget may be placed on your clinic's external website. You may customise its appearance but must not remove Teliyadu branding unless a white-label arrangement has been separately agreed in writing. You are responsible for the content surrounding the widget on your website.
The patient web portal and patient mobile app allow patients to view their own appointments, balances, and messages. You remain the data controller for patient records shown in these interfaces. You are responsible for ensuring patients are aware that these tools exist and how to use them responsibly.
10. Acceptable Use
You agree not to use the Service to:
- Engage in any unlawful activity or violate applicable healthcare regulations, privacy laws, or professional codes of conduct.
- Attempt to access another clinic's data or any part of the system you are not authorised to access.
- Upload or transmit malicious code, viruses, ransomware, or any content that could harm the Service or other users.
- Conduct automated scraping, crawling, or data harvesting beyond normal use of the API within published rate limits.
- Reverse-engineer, decompile, disassemble, or create derivative works from the Service or its underlying software.
- Resell, sublicense, or provide white-label access to the Service without a separate written agreement with Teliyadu.
- Use the Service in a way that degrades performance or availability for other customers.
- Impersonate another clinic, patient, or Teliyadu employee.
- Record or transmit patient data to unauthorised parties.
- Use patient contact data extracted from OralOS for purposes not consented to by the patient.
Violation of this section may result in immediate suspension or termination of your Account without refund.
11. Patient Data & Clinical Responsibility
11.1 Data controller relationship
The clinic is the data controller for all patient health records. Teliyadu acts as a data processor, handling data only on your instructions and in accordance with our Privacy Policy. A Data Processing Agreement (DPA) is incorporated into these Terms by reference and is available upon request at support@teliyadu.com.
11.2 Your obligations as data controller
You are responsible for:
- Obtaining valid patient consent for the collection, processing, and storage of health records in OralOS.
- Informing patients about the use of AI tools in preparation of their records where required by local law.
- Ensuring the accuracy and completeness of data entered into the system.
- Complying with applicable health data regulations (Ethiopian Health Sector Transformation Plan, GDPR where applicable, and any other relevant national law).
- Assigning appropriate roles to Staff Users and removing access promptly when staff leave.
- Reporting any suspected data breach involving patient records to Teliyadu immediately and to the appropriate regulatory authority within required timeframes.
11.3 Clinical responsibility
OralOS is a practice management tool, not a medical device. All clinical decisions . including diagnoses, treatment plans, prescriptions, and referrals . are the sole professional responsibility of the licensed clinician making them. Teliyadu does not provide clinical advice and is not liable for clinical outcomes.
12. Intellectual Property
The Service, including all software, user interfaces, documentation, trademarks, and brand assets, is owned by Teliyadu and protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your Subscription for your internal business purposes.
You retain all rights to Customer Data. You grant Teliyadu a limited licence to process Customer Data solely to provide and maintain the Service. Teliyadu does not acquire any ownership of Customer Data.
Feedback, suggestions, or feature requests you share with us may be used by Teliyadu to improve the Service without obligation to you.
13. Confidentiality
Each party agrees to keep the other's confidential information (including pricing, product roadmap, security architecture, and Customer Data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or to authorised sub-processors. This obligation survives termination of these Terms for 5 years.
14. Availability, SLA & Support
14.1 Availability target
We target 99.5% monthly uptime for the OralOS dashboard and API. Scheduled maintenance windows (typically off-peak hours EAT) are excluded from uptime calculations and communicated at least 48 hours in advance.
14.2 Support
Support is available via support@teliyadu.com. Response times vary by plan:
- Starter: Best-effort response within 2 business days.
- Pro: Response within 1 business day (EAT, Monday–Friday).
- Enterprise: Priority queue, dedicated account manager, response SLA per contract.
14.3 Force majeure
Teliyadu is not liable for unavailability caused by events outside our reasonable control, including internet infrastructure failures, AWS outages, natural disasters, government actions, or acts of war.
15. Warranties & Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Teliyadu disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Teliyadu does not warrant that: (a) the Service will be error-free or uninterrupted; (b) AI-generated suggestions are clinically accurate; (c) the Service satisfies any specific regulatory requirement applicable to your clinic; or (d) data transmitted via the internet will be secure against all threats.
You are responsible for verifying that OralOS meets your local legal and professional compliance obligations before relying on it for clinical operations.
16. Indemnification
You agree to indemnify, defend, and hold harmless Teliyadu and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in breach of these Terms; (b) your breach of applicable law; (c) any clinical decisions made using OralOS; (d) your mishandling of patient data; or (e) claims by your patients or staff arising from your use of the Service.
17. Limitation of Liability
To the maximum extent permitted by law, Teliyadu's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 calendar months immediately preceding the event giving rise to the claim.
In no event shall Teliyadu be liable for: indirect, incidental, special, consequential, or punitive damages; loss of profit, revenue, or data; business interruption; loss of goodwill; or cost of substitute services . even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
18. Term & Termination
18.1 Duration
These Terms remain in effect from your registration date until your Subscription is terminated by either party.
18.2 Cancellation by you
You may cancel your Subscription at any time from your account settings. Access continues until the end of the current paid period. No partial-period refunds are provided for monthly plans.
18.3 Termination by Teliyadu
We may suspend or terminate your Account immediately upon notice for: material breach of these Terms; non-payment after notice; use of the Service in a way that causes harm to other customers or the platform; or a legal requirement to do so. We may terminate the Service entirely with 90 days' notice.
18.4 Data on termination
Upon termination for any reason, you may export your Customer Data for 30 days using the built-in export tools (CSV, PDF, JSON). After 30 days, all Customer Data is permanently deleted from production systems and is purged from backups as they age out within the 30-day backup retention window.
19. Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. Teliyadu may assign these Terms to a successor entity in the event of a merger, acquisition, or sale of substantially all assets, with notice to you.
20. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising out of or relating to these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia.
Notwithstanding the above, Teliyadu may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property or confidential information.
Customers located in jurisdictions that do not recognise Ethiopian court judgements may be subject to applicable local mandatory law.
21. General
- Entire agreement: These Terms, together with the Privacy Policy and any order forms or enterprise agreements, constitute the entire agreement between the parties regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it later.
- Notices: Legal notices to Teliyadu must be sent to support@teliyadu.com. We will send notices to the billing contact email on your Account.
22. Changes to These Terms
We may update these Terms from time to time. We will notify clinic account holders by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the updated Terms, you must cancel your Subscription before the effective date.
